TERMS AND CONDITIONS

Please read the following Terms and Conditions (“T&C”) in full and carefully before accessing and using ninisumohandoyo.com (“NS Site”), which is owned and operated by Nini Sumohandoyo^TM. Throughout the NS Site, the terms “we”, “us” and “our” refer to Nini Sumohandoyo^TM – while the terms “you” and “your” refer to any user of the NS Site, including without limitation any user who is a browser, client”, vendor, merchant and/or contributor of content.

By accessing or using the NS Site in any way, you engage in our services, features, and other offerings, and/or otherwise communicate with us (“Service”) and you agree to be legally bound by any and all terms under this T&C, including those additional terms and conditions and policies reference herein and/or available by hyperlink. If you do not agree to abide by these terms, kindly do not use this Service.

SECTION 1 – ONLINE STORE TERMS

By agreeing to this T&C, you confirm that you are of legal age in your state or jurisdiction of residence, and that you have consented to allow your minor dependents to use the NS Site.

You may not use our products for any illegal or unauthorized purpose and you must comply with all applicable laws and regulations (including but not limited to copyright laws). You must also not transmit any harmful viruses or destructive code.

A breach or violation of any of terms under this T&C will result in an immediate termination of your Services.

Our store is hosted on Shopify Inc. They provide us with the online e-commerce platform that allows us to sell our products and Services to you. Any new features or tools which are added to the current store shall also be subject to this T&C.

SECTION 2 – GENERAL CONDITIONS

We reserve the right to refuse Services to anyone for any reason at any time.

You understand that your content (excluding credit card information) may be transferred unencrypted over various networks and modified to meet technical requirements. Credit card information is always encrypted during transfer over networks.

You agree not to use, access, reproduce, duplicate, copy, sell, resell or exploit any part of the Service without our prior written permission.

The headings used in this T&C are for convenience only and do not affect this T&C.

SECTION 3 – ACCURACY, COMPLETENESS AND TIMELINESS OF INFORMATION

The material on the NS Site is for general information purposes only and should not be solely relied upon for making decisions without consulting more accurate, complete or up-to-date sources. Any reliance on the material on the NS Site is at your own risk, and we shall not be held responsible for any resulting consequences.

The NS Site may contain historical information, which is provided for your reference only and may not be current. We reserve the right to modify the contents of the NS Site at any time

without notice, but we have no obligation to update any information or to notify you of updates. You agree that it is your responsibility to monitor changes to our NS Site.

SECTION 4 – MODIFICATIONS TO THE SERVICES AND PRICES

Prices for our products can change at any time without notice.

We reserve the right to modify or discontinue the Service (or any part of it) at any time without notice. We are not responsible to you or any third party for any modification, price change, suspension or discontinuance of the Service.

SECTION 5 – PRODUCTS OR SERVICES

Some products or Services may only be available online through the NS Site, which may have limited quantities and are subject to return or exchange according to our Returns & Exchanges Policy. 

Please note that aesthetic changes during [manufacture/production/craftsmanship/workmanship] can occur. While our images closely represent the products, small differences in color or materials may happen, and we are not responsible for these. The basic functionality of the product will remain unchanged.

We reserve the right to limit: (i) the sales of our products or Services to any person, region, and/or jurisdiction on a case-by-case basis, and/or (ii) the quantities of any products or Services that we offer. All products descriptions or pricing may change at any time, with or without notice, based on unforeseen circumstances and at our sole discretion.

We reserve the right to discontinue any product at any time. Any product or Service offered on the NS Site is void where prohibited.

We do not guarantee that the quality of any products, Services, information, or other material purchased or obtained by you will meet your expectations, nor do we promise that any errors in the Service will be corrected.

SECTION 6 – ACCURACY OF BILLING AND ACCOUNT INFORMATION

All orders are processed and shipped once payment is received. If your payment is declined or found to be fraudulent, we cannot ship the items. We reserve the right to refuse any order, limit or cancel quantities purchased per person, household or order. These restrictions may apply to orders under the same account, using the same credit card, and/or sharing the same billing and/or shipping address. If we change or cancel an order, we may attempt to notify you via e-mail, billing address, and/or phone number you have provided when you placed the order. We also reserve the right to limit or reject orders that we believe are placed by dealers, resellers or distributors.

You agree to provide accurate and up-to-date purchase and account information for all orders. This includes updating your e-mail address and credit card details, so that we can complete your transactions and contact you if needed.

SECTION 7 – SHIPPING POLICY

Shipping dates are estimates and not guaranteed. No liability will be accepted for any loss or damage due to delivery delays, regardless of the cause. Whilst we strive to meet delivery

deadlines, delays beyond our control may happen and Nini SumohandoyoTM will not be held responsible for any such delays.

We are not responsible for items returned due to unsuccessful delivery attempts. If an order is unexpectedly returned to us, we will contact you, and if you wish to have it redelivered, we can arrange for the shipping at your expense.

If your purchased product is damaged or lost during transit, please contact us at contact@ninisumohandoyo.com as soon as possible. For damaged or incomplete orders, please keep all original packaging, including outer and inner materials, to process any claims.

For domestic orders, we use JNE courier service, and for international orders, we use DHL Express courier service.

SECTION 8 – CUSTOM CHARGES

When ordering products for delivery outside Indonesia, you may be responsible for import duties and taxes that are applied once the package reaches your destination. Any additional charges for customs clearance, including customs processing fees, must be covered by you.

Customs policies differ from country to country, so we recommend checking with your local customs office for more information. If local import taxes or charges are not paid and the package is returned to us, we reserve the right to deduct the cost of recovering the package from your refund. If the package cannot be returned due to unpaid local import taxes or charges, no refund will be applicable.

SECTION 9 – OPTIONAL TOOLS

We may provide access to third-party tools over which we have no control or input. You acknowledge and agree that we provide access to these tools “as is” and “as available” without any warranties, conditions or endorsements. We shall have no liability for any issues arising from or relating to your use of these third-party tools. Any use of these optional tools is at your own risk, and it is your responsibility to review and agree to the terms provided by the relevant third-party provider(s).

In the future, we may also introduce new services and/or features through the NS Site (including the release of new tools and resources), which will also be subject to this T&C.

SECTION 10 - THIRD-PARTY LINKS

Some contents, products and Services available through the NS Site may include materials from third parties.

Third party links on the NS Site may direct you to websites that are not affiliated with us. We are not responsible for reviewing or guaranteeing the content or accuracy of any third-party materials, websites, products, or services, and we assume no liability to them.

We are not responsible for the content or privacy practices of third-party websites, including how they handle your personal data.

We are not liable for any harm or damages resulting from the purchase or use of goods, Services, resources, content, or any other transactions made in connection with any third- party websites. Please review carefully the third-party’s policies and practices before engaging

in any transactions. Any issues, concerns, or questions regarding third-party products should be directed to them.

SECTION 11 – USER COMMENTS AND FEEDBACK

If you send us any comments and/or feedback, whether online, by e-mail, by postal mail, or in any other way (collectively, the “Comments”), you agree that we can edit, copy, publish, distribute, translate and use the Comments in any medium without restriction. We have no obligation to keep any Comments confidential, provide any form of compensation for them, or respond to them.

We may, but have no obligation to, monitor, edit or remove content that we find to be unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable in any way.

You agree that your Comments will not violate any right of any third party, including copyright, trademark, privacy, personality or other personal or proprietary right. You further agree that your Comments will not contain any unlawful, abusive or obscene material, nor any viruses or other malware that could affect the operation of the Service or any related website.

You may not use a false e-mail address or mislead us or others about the origin of any Comments. You are solely responsible for any Comments you make and their accuracy. We are not responsible for any Comments posted by you or any third party.

SECTION 12 – PERSONAL INFORMATION

Your submission of personal information through the store is governed by our Privacy Policy, which can be viewed here. 

SECTION 13 – ERRORS, INACCURACIES AND OMISSIONS

Occasionally, our NS Site or the Service may contain typographical errors, inaccuracies or omissions that may relate to product descriptions, pricing, promotions, offers, shipping charges, transit times and availability. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information in the Service or on any related website is inaccurate at any time without prior notice (including after you have submitted your order).

We have no obligation to update, amend or clarify information in the Service or on related websites, including pricing information, except as required by law. No specified update or refresh date in the Service or on related websites indicates that all information has been modified or updated.

SECTION 14 – PROHIBITED USES

In addition to other prohibitions as set forth in this T&C, you are prohibited from using the NS Site or its content for the following purposes: (a) any unlawful purpose; (b) soliciting others to engage in any unlawful acts; (c) violating any international, federal, provincial or state laws and regulations; (d) infringing on our or others’ intellectual property rights; (e) harassing, abusing or discriminating against others based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; (f) submitting false or misleading information; (g) uploading or transmitting viruses or other malicious codes that may affect the Service or related websites; (h) collecting or tracking the personal information of others; (i) engaging in spam, phishing, or other scraping activities; (j) using for any obscene or immoral purpose; and/or (k) interfering with the security features of the Service or any related websites.

We reserve the right to: (a) immediately, temporarily, and/or permanently terminate your access to the Service or any related websites for violation of these prohibited uses, (b) initiate legal proceedings to recover all costs incurred from your breach (including administrative and legal fees), and (c) disclose any relevant information to law enforcement authorities as we deem necessary or as required by law.

We exclude our liability for any actions we may take in response to violations of this acceptable use policy. Our response actions are not limited to those described above, and we may take any other measures we consider appropriate.

SECTION 15 – DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY

We do not guarantee that your use of our Service will be uninterrupted, timely, secure or error- free.

We also do not warrant that any results obtained from using the Service will be accurate or reliable.

You agree that we may remove the Service for indefinite periods or cancel it at any time, without prior notice to you.

You expressly agree that your use of or inability to use the Service is at your own risk. The Service and all products delivered through it to you are provided 'as is' and 'as available', without any express or implied warranties, including but not limited to warranties of merchantability, quality, fitness for a particular purpose, durability, title, and non-infringement.

In no case shall Nini Sumohandoyo^TM, our affiliates, partners, officers, directors, agents, contractors, licensors, Service providers, subcontractors, suppliers, interns and employees , be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind. This includes, but not limited to, lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, regardless of whether they are arised from contract, tort (including negligence), strict liability or otherwise, in connection with your use of the Service or any products obtained through it. This applies even if we have been advised of the possibility of such damages.

Because some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, our liability in those jurisdictions is limited to the maximum extent permitted by law.

SECTION 16 – INDEMNIFICATION

You agree to indemnify, defend and hold harmless Nini Sumohandoyo^TM and our affiliates, partners, officers, directors, agents, contractors, licensors, Service providers, subcontractors, suppliers, interns and employees, from any claims or demands made by third parties. This includes reasonable attorneys’ fees arising from your breach of this T&C or any documents incorporated by reference, or your violation of any law or the rights of any third party.

SECTION 17 – SEVERABILITY

If any provision of this T&C is found to be illegal, void or unenforceable, such provision shall be removed and the remaining provisions of this T&C shall remain valid and enforceable.

SECTION 18 – TERMINATION

Any obligations and liabilities of the parties incurred prior to the termination date will still apply after the termination.

This T&C remains in effect until either you or we terminate it. You may terminate this T&C at any time by notifying us in writing that you no longer wish to use our Services or by stopping use of the NS Site.

If in our sole judgment we believe that you have violated any term or provision of this T&C, we can terminate the agreement at any time without notice. You will remain liable for all amounts due up to and including the date of termination and may lose access to our Services (or any part thereof).

SECTION 19 – ENTIRE AGREEMENT

The failure of us to exercise or enforce any right or provision of this T&C shall not constitute a waiver of such right or provision.

This T&C and any related policies or operating rules constitutes the entire agreement and understanding between you and us, replacing any previous agreements or communications, whether oral or written, between you and us (including any previous versions of the T&C).

Any ambiguities in the interpretation of this T&C shall not be construed against the drafting party.

SECTION 20 – GOVERNING LAW

This T&C and any related policies or operating rules shall be governed by and construed in accordance with the laws of Indonesia.

SECTION 21 – CHANGES TO TERMS AND CONDITIONS

You can always review the latest version of the T&C on this page. We reserve the right, at our sole discretion, to update, change or replace any part of this T&C by posting updates and changes to the NS Site. It is your responsibility to check the NS Site periodically for changes. Your continued use of or access to the NS Site or the Service after changes are posted means you accept and agree those changes.
